Terms of Service

By accessing or using MidOS (“the Service”), operated by MidOS Research (“we”, “us”, “our”), you agree to these Terms of Service. If you do not agree, do not use the Service.

MidOS is a knowledge infrastructure for AI coding agents, delivered via the Model Context Protocol (MCP). The Service provides curated knowledge chunks, executable skills, research briefs, and developer tools through API access.

  • You must provide accurate information when creating an account.
  • API keys are personal and non-transferable. You are responsible for all activity under your key.
  • Do not share, publish, or embed your API key in client-side code or public repositories.
  • We may revoke keys that violate these terms without notice.
  • Community (Free): No payment required. Subject to rate limits and content truncation.
  • Paid Tiers (Dev, Ops, Teams, Enterprise): Billed monthly or annually via Paddle (our Merchant of Record). Paddle handles all payment processing, tax collection, and invoicing.
  • Prices are listed on our Access Tiers page and may change with 30 days notice to existing subscribers.
  • All fees are non-refundable except as described in our Refund Policy.

You may use the Service for lawful software development purposes. You must NOT:

  • Attempt to reverse-engineer, scrape, or bulk-download the knowledge base.
  • Use the Service to build a competing product that repackages MidOS content.
  • Exceed your tier’s rate limits deliberately or through automated abuse.
  • Share paid-tier content (full knowledge chunks, skills, EUREKA entries) with non-subscribers.
  • Use the Service for any illegal purpose.
  • Our Content: Knowledge chunks, skills, EUREKA discoveries, SOTA entries, Truth Patches, and AOTC inventions are proprietary. Access is licensed, not sold.
  • Your Content: Feedback, research requests, and episodic memory entries you submit remain yours. You grant us a license to use them to improve the Service.
  • Open Source: Some MidOS tools and the MCP server are open source under their respective licenses (see GitHub). These terms do not restrict your rights under those licenses.
  • Community/Dev/Ops/Teams: We target 99.5% uptime but provide no formal SLA. Scheduled maintenance is announced in advance.
  • Enterprise: Covered by a separate Service Level Agreement with guaranteed uptime and response times.
  • We may temporarily suspend the Service for maintenance, security, or abuse mitigation.

We process data as described in our Privacy Policy. In summary:

  • We log API usage (queries, timestamps, tier) for rate limiting and analytics.
  • We do not sell your data.
  • Paddle processes payments — we never see your full card details.

The Service is provided “as is.” To the maximum extent permitted by law:

  • We are not liable for indirect, incidental, or consequential damages.
  • Our total liability is limited to the amount you paid us in the 12 months prior to the claim.
  • Knowledge provided by MidOS is for informational purposes. You are responsible for testing and validating any code or patterns in your production environment.
  • You may cancel your subscription at any time. Access continues until the end of the billing period.
  • We may terminate accounts that violate these terms, with notice when practical.
  • Upon termination, your API key is deactivated. Your episodic memory and feedback data can be exported upon request within 30 days.

We may update these terms. Material changes are announced via email to paid subscribers and on the website. Continued use after changes constitutes acceptance.

These terms are governed by the laws of Uruguay. Disputes will be resolved in the courts of Montevideo, Uruguay.
